Terms & Conditions

Last updated September 23, 2026

Effective Date: September 23, 2026

By visiting our site or buying software development services from zeroonzero (0on0), you agree to these terms. Read them before handing over a deposit.

1. Scope of Work and Change Orders

Every build starts with a written Scope of Work (SOW) or Statement of Intent. That document outlines what we're building, the target timeline, and the price.

Feature creep is real. If you request new features, radical redesigns, or third-party API changes outside the signed SOW while we're actively coding, we'll pause, draft a Change Order detailing the additional cost and timeline delay, and wait for your written sign-off before writing another line of code.

2. Payments and Late Fees

  • Deposit: Work begins only after the initial deposit (typically 50% for fixed-scope projects) clears in our bank account.
  • Milestones: Interim payments are tied to clear deliverables specified in the SOW.
  • Invoicing: Invoices are due within 14 calendar days of issuance. Late payments incur a fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance.
  • Work Stoppage: If an invoice goes 30 days unpaid, we stop all design and development work instantly. Timelines will slip, and we aren't liable for delays caused by stopped work due to non-payment.

3. Intellectual Property Rights

  • Pre-Existing IP: We retain all rights to our pre-existing code, internal boilerplate libraries, developer tooling, and reusable scripts. We grant you a perpetual, non-exclusive, royalty-free license to use those internal tools inside your finished software.
  • Deliverables: Once you pay the final invoice in full, we assign all rights, title, and ownership of the custom code, designs, and assets created specifically for your project to you. Until full payment clears, we retain legal ownership of everything we wrote or designed.

4. Client Responsibilities and Assets

Projects stall when feedback stops. You agree to designate a single project manager on your end who can approve deliverables, answer technical questions, and provide required brand assets, copy, or API credentials in a timely manner. If a project stalls for more than 30 consecutive days because you haven't responded or provided required materials, we reserve the right to bill for all work completed to date and unschedule the project.

5. Warranties and Bug Fixes

Software is complex, and bugs happen. We provide a 30-day post-launch warranty starting the day your code deploys to production. During these 30 days, we'll fix any reproducible bugs or errors where the software fails to meet the signed SOW, completely free of charge.

This warranty does not cover:

  • Issues caused by third-party APIs updating or breaking without notice.
  • Bugs introduced when your internal team or another vendor modifies our code.
  • Hosting environment failures outside our direct control.

After 30 days, bug fixes and updates fall under our standard hourly development rate or an ongoing maintenance contract.

6. Limitation of Liability

To the maximum extent permitted by applicable law, zeroonzero (0on0) won't be liable for any indirect, incidental, consequential, or punitive damages—including lost profits, lost data, system downtime, or business interruption—arising out of or linked to our work or your use of the software.

Our total financial liability for any claim related to our services is strictly capped at the total amount of money you actually paid us for the specific project giving rise to the claim.

7. Termination

Either party can terminate a project agreement with 14 days' written notice. If you terminate early, you must pay us for all billable hours worked and expenses incurred up to the date of termination. We will deliver whatever partial code, assets, or documentation exist at that point once the final pro-rated invoice is paid.

8. Governing Law

These terms are governed by the laws of your local jurisdiction, without regard to its conflict of law principles. Any legal disputes must be filed and handled in the local courts where zeroonzero operates.
